Terms and Conditions

1. Corporate Identification & Applicability

These Master Terms and Conditions ("Terms") govern the provision of high-throughput data engineering, enterprise applied AI architectures, biopharma commercial intelligence, quantitative systems, and turnkey Global Capability Center (GCC) infrastructure provided by IFIRST TECHNOLOGIES PRIVATE LIMITED ("Company", "we", "us"), a private limited company incorporated under the laws of India with Corporate Identification Number (CIN) U29193TN2001PTC048206, having its operational registered facility at Unit Nos. 801 to 810, 8th Floor, Commercial Block / Tower-I, Vasavi's Shalom Sky City, Gachibowli, Hyderabad, Telangana 500032, India.

2. Master Agreements & Scope Hierarchy

All client engagements, dedicated engineering pods, and physical enclave deployments operate pursuant to mutually executed Master Services Agreements (MSAs), Statements of Work (SOWs), and Non-Disclosure Agreements (NDAs). In the event of any discrepancy between these digital website terms and a bilaterally executed Master Services Agreement, the terms of the executed MSA shall take precedence.

3. Intellectual Property Rights & Code Deliverables

Unless explicitly stipulated otherwise in an executed Statement of Work:

• Pre-Existing Frameworks: All proprietary code accelerators, architectural libraries, and foundational tools developed by the Company prior to or outside the scope of a client SOW remain the exclusive intellectual property of the Company.
• Client Deliverables: All bespoke code, specialized data models, custom algorithms, and specific analytical dashboards developed exclusively for a client under a fully settled contract transfer unconditionally to the client upon full payment of the applicable milestone fees.

4. Invoicing, Settlements & Cross-Border Governance

Fees are structured as bi-weekly sprint settlements or fixed monthly retainers as defined in the client SOW. Clients contracting through our North American partner vehicle (Allobr Inc) execute standard domestic agreements subject to North American jurisdiction and domestic tax governance, with operational execution delivered by our Hyderabad hub.

5. Information Security & Confidentiality

Both parties agree to protect and maintain the strict confidentiality of all proprietary technical, financial, and business data. Engineering pods operating out of our Gachibowli facility are bound by hardware-enforced clean desk policies, biometric access controls, isolated client subnets, and individual non-disclosure commitments.

6. Dispute Resolution & Governing Law

These Terms and all operational engagements shall be governed by, and construed in accordance with, the laws of the Republic of India. Any legal dispute, controversy, or claim arising out of or related to our services shall be subject to the exclusive jurisdiction of the competent courts situated in Hyderabad, Telangana, India.
